Ledger1 structures and operates financial-infrastructure programs through defined relationships with banking, technology, compliance, payment, and digital-asset providers. Every program is reviewed individually, implemented under applicable agreements, and governed by an explicit allocation of responsibilities.

Legal identity.
Ledger1 is the commercial brand used for financial-infrastructure programs operated by Theropay Inc.
Regulatory status.
Theropay Inc is registered with the Financial Crimes Enforcement Network as a money services business. MSB Registration No. 31000299726160.
MSB qualification
Registration as a money services business does not constitute endorsement, certification, verification, or approval by the U.S. Department of the Treasury or FinCEN.MSB registration is not a substitute for state licensing or other authorizations that may be required for a particular activity or jurisdiction.
Banking infrastructure.
Certain banking services available through approved Ledger1 programs are provided by SSB Bank, a Pennsylvania stock savings bank and FDIC-insured depository institution.
Theropay serves as program manager for applicable programs and supports program design, onboarding, implementation, administration, and ongoing operations. SSB Bank retains the responsibilities and discretion allocated to the bank under the applicable program agreements.
Qualification
Banking services are subject to eligibility, risk review, due diligence, underwriting, program approval, and applicable agreements. Not every Ledger1 client or program will receive every banking capability.Technology and digital-asset infrastructure.
Theropay Inc. is a client of BlockWyre, Inc. Ledger1 uses technology and infrastructure provided by BlockWyre for certain approved account, payment, wallet, conversion, transaction-reporting, and digital-asset capabilities.
Availability depends on the approved program, provider review, jurisdiction, asset, network, transaction type, and applicable agreements.
Digital assets and custody.
Ledger1 does not custody digital assets. Digital-asset custody, wallet infrastructure, liquidity, conversion, and related regulated services are provided through approved third-party providers where applicable.
Ledger1 coordinates the program structure, integration, compliance model, transaction controls, reporting, and operating procedures around those provider relationships.
Digital-asset capabilities are available only for approved customers, use cases, jurisdictions, assets, networks, and transaction types.
Compliance is program-specific.
Admission is a review, not a signup.
Ledger1 evaluates each proposed program according to its business model, ownership, customer population, counterparties, jurisdictions, funds flow, transaction profile, products, and expected activity.
For accepted programs, Ledger1 works with the client and applicable infrastructure providers to define the required onboarding, customer-verification, beneficial-ownership, sanctions, transaction-monitoring, recordkeeping, escalation, and reporting controls.
The responsibilities of Ledger1, the client, and applicable providers are documented in the governing master services agreement, program documents, and operating procedures.

Important limitation
Ledger1 does not replace a client's legal counsel, required licenses, regulatory obligations, compliance program, independent diligence, or ownership of its risk. Responsibilities depend on the approved program structure and applicable agreements.Geographic eligibility.
Ledger1 does not support customers, counterparties, transactions, or activities prohibited by applicable sanctions or program requirements. Programs involving higher-risk or restricted jurisdictions require additional review and may be unavailable.
Eligibility can change as sanctions, regulatory requirements, provider policies, and program risk parameters change.
A prospective program's headquarters, operating jurisdictions, customer locations, counterparties, transaction origins, beneficiaries, currencies, and corridors are reviewed before approval.
Current posture
Programs involving countries or territories subject to comprehensive U.S. sanctions or identified by the Financial Action Task Force as high-risk jurisdictions subject to a call for action are generally prohibited. Ledger1 applies administrative, technical, and organizational safeguards appropriate to the information and systems used in each program. Access is limited according to role and operating need, and applicable providers maintain responsibility for the systems and information under their control.
Security and data responsibilities are defined through applicable agreements, policies, and program procedures.
